Terms of Service

1. About Parkeas

Parkeas is a Canadian technology marketplace that connects people and businesses with available spaces. The Platform enables eligible Users to:

• List available spaces
• Search for spaces
• Make and manage Bookings
• Communicate regarding Bookings
• Facilitate payments
• Manage Listings
• Provide ratings and reviews
• Access related marketplace functionality

Parkeas is initially focused on Parking and Storage, with the ability to introduce additional eligible categories as the Platform evolves.

2. Important Definitions

For purposes of these Terms:

Host — an individual or business that lists or makes an eligible Space or Asset available through Parkeas.

Guest — an individual or business that searches for, requests, books, accesses or uses a Host's Listing through Parkeas.

User — anyone accessing or using Parkeas, including Hosts and Guests.

Listing — any Space, Asset, property, facility, item, equipment or other permitted offering made available by a Host through the Parkeas Platform, including, without limitation, parking spaces, storage spaces, garages, rooms, land, commercial or residential spaces, equipment and other spaces or assets that may be offered through the Platform from time to time.

Space — any physical area, location, premises or portion thereof made available by a Host through a Listing, including, without limitation, parking spaces, driveways, garages, storage areas, rooms, land and commercial or residential spaces.

Asset — any permitted tangible property, equipment, item or other asset made available by a Host through a Listing.

Booking — a reservation or other arrangement made through Parkeas concerning use of a Listing.

Platform — the Parkeas website, application, marketplace technology and related services.

3. Parkeas Is a Technology Marketplace

Parkeas provides technology that enables Hosts and Guests to connect and transact. Unless expressly stated otherwise for a particular service, Parkeas does not own, lease, operate, manage or control the spaces listed by Hosts.

Parkeas is not, merely because it operates the Platform:

• A landlord, tenant or property manager
• A real estate brokerage or agent
• A parking facility operator or valet
• A storage facility, warehouse or warehouseman
• A bailee or custodian
• An insurer or insurance broker
• An employer of Hosts
• An agent of Hosts or Guests

Hosts independently determine whether to offer eligible spaces, subject to these Terms and applicable law. Guests independently determine whether a Listing is appropriate for their needs.

4. The Agreement Between Host and Guest

When a Booking is confirmed, the Host and Guest enter into a direct arrangement concerning the Guest's use of the applicable Listing. The Host is responsible for providing the Listing substantially as described. The Guest is responsible for using the Listing in accordance with the Booking, Host rules, these Terms and applicable law.

Except for services Parkeas expressly agrees to provide, Parkeas is not the provider of the underlying parking or storage space. Parkeas may nevertheless establish marketplace rules, facilitate payments and communications, investigate complaints, provide support and enforce Platform policies.

5. Eligibility

To independently create and use a Parkeas Account, you must:

• Have reached the age of majority applicable in your province or territory
• Have legal capacity to enter into a binding agreement
• Provide accurate information
• Not be prohibited by law from using the Platform
• Comply with these Terms

Additional eligibility requirements may apply to particular services.

6. Your Account

You are responsible for maintaining accurate Account information. You must protect your password and Account credentials. You may not:

• Impersonate another person
• Provide materially false information
• Create fraudulent Accounts
• Transfer your Account without authorization
• Use another person's Account without permission
• Hold more than one personal Account, or open extra Accounts to claim promotions, referral credit or first-Booking offers
• Circumvent a suspension or restriction
• Use Parkeas for unlawful purposes

By creating an Account, you consent to receive transactional communications from Parkeas (such as booking confirmations and security alerts) by email. Where Parkeas sends commercial electronic messages, it does so in accordance with Canada's Anti-Spam Legislation (CASL), including sender identification and a working unsubscribe mechanism — see Section 21 of our Privacy Policy.

Notify Parkeas promptly if you believe your Account has been compromised.

7. Verification

Parkeas may use verification processes to support marketplace trust, safety, fraud prevention and legal compliance.

Depending on the circumstances and the services being used, Parkeas may request or verify:

• Identity information
• Contact information
• Government-issued identification
• Address information
• Vehicle information
• Property or Listing authorization
• Payment information
• Business information
• Other information reasonably necessary to operate, secure or administer the Platform

Verification may involve automated screening, technology-assisted checks and/or review by an authorized Parkeas reviewer or authorized service provider. See Section 2 of our Privacy Policy for how identity information is handled.

Where identity documents are submitted, Parkeas may use reasonable technical and administrative measures to assess whether documents appear complete, authentic and suitable for verification.

Verification is intended to reduce certain risks and support the operation of the marketplace. However, verification does not constitute a guarantee of a User's identity, character, reliability, financial position, behaviour, safety, legal authority or future conduct.

Parkeas may refuse, delay, restrict or withdraw verification where information is incomplete, inconsistent, suspicious, inaccurate, unverifiable or otherwise reasonably requires additional review.

Users must provide truthful, current and complete information and must not submit another person's identification or misleading information.

8. Host Responsibility for Listings

The Host represents and warrants that the Host has all rights, authority, ownership interests, permissions, consents and approvals necessary to create, publish and maintain a Listing and to make the applicable Space or Asset available through the Parkeas Platform for the purposes described in the Listing.

The Host is solely responsible for ensuring that the Listing, the availability of the Space or Asset, and its use by a Guest comply with all applicable federal, provincial, territorial and municipal laws, regulations, bylaws, zoning requirements, licensing and permit requirements, condominium or strata rules, homeowners' association or property rules, lease or tenancy restrictions, mortgage or financing conditions, insurance requirements, and any other contractual or legal obligations applicable to the Host, the Space or the Asset.

The Host must not create or maintain a Listing for any Space or Asset where the Host does not have the legal right, authority or required permission to do so. The Host is also solely responsible for obtaining and maintaining any permits, licences, approvals, consents or insurance coverage that may be required in connection with the Listing, the Space or Asset, or its permitted use.

Parkeas does not own, lease, possess, operate, manage, maintain or control any Space or Asset made available through the Platform by a Host. Parkeas does not determine, verify or guarantee that any Listing, Space or Asset is legally authorized, suitable, safe, permitted or approved for its advertised use. The publication or availability of a Listing on the Parkeas Platform does not constitute confirmation, approval or endorsement by Parkeas of the Host's legal right or authority to offer the Space or Asset, or of the legality or suitability of its use.

The Host remains solely responsible for the condition, availability, accuracy, legality and authorized use of the Space or Asset, as well as for compliance with all applicable requirements relating to the Listing and any arrangement or transaction between the Host and a Guest.

Hosts must also honour confirmed Bookings, disclose material restrictions to Guests and keep Listing information reasonably current.

9. Authority to Offer a Space

Before listing a space, Hosts are responsible for determining whether permission is required from any third party. Depending on the circumstances, this may include:

• Property owners or landlords
• Condominium or strata corporations
• Property managers
• Mortgage lenders
• Municipalities
• Insurers
• Employers
• Other relevant authorities

The fact that Parkeas permits you to create a Listing does not mean Parkeas has determined that your Listing is legally permitted.

10. Responsible Hosting

Hosts are responsible for complying with requirements applicable to their property and activities. These may include:

• Municipal bylaws and zoning
• Parking regulations and property-use requirements
• Condominium or strata rules
• Lease restrictions
• Insurance requirements imposed by your own insurer, landlord or condominium corporation
• Building, fire and safety requirements
• Tax and business-licensing requirements

Hosts should confirm they meet all applicable requirements above before publishing a Listing.

11. Guest Responsibilities

Guests must use Listings responsibly. Guests agree to:

• Use the correct Listing, only for the booked purpose
• Follow applicable Host instructions
• Respect Booking start and end times
• Respect the Host's property and avoid causing damage
• Avoid unreasonable disturbance
• Follow applicable laws
• Provide accurate vehicle or storage information
• Leave the space in an appropriate condition

Guests may not allow unauthorized use of a Listing.

12. Guest Property and Permitted Use

A Guest is solely responsible for ensuring that any vehicle, personal property, goods, inventory, equipment or other items brought onto, placed in or stored at a Listing are lawful, appropriate for the Listing and permitted under the applicable Listing terms and any rules communicated by the Host.

A Guest must not use a Listing for any unlawful, hazardous or prohibited purpose or place any item at a Listing that could reasonably create a risk of injury, damage, contamination, fire, environmental harm or other material risk to persons or property.

The Host may establish reasonable restrictions regarding the types of vehicles, property, goods, equipment or other items permitted at a Listing, having regard to the nature and intended use of the Space or Asset.

Parkeas does not take possession, custody or control of any vehicle, personal property, goods, inventory, equipment or other items brought onto, placed in or stored at a Listing and does not act as a warehouse, storage operator, bailee, custodian or insurer of such property.

13. Parking Bookings

A parking Booking generally gives the Guest limited permission to park an authorized vehicle in the designated space for the confirmed Booking period. It does not transfer ownership of the parking space. Unless expressly agreed otherwise, the vehicle remains under the Guest's possession and control.

Guests are responsible for:

• Checking before booking that their vehicle fits the space, including its size, height clearance and access
• Using the correct vehicle
• Providing accurate licence-plate information where required
• Parking within the designated area
• Securing their vehicle
• Removing the vehicle on time
• Following Host instructions
• Complying with applicable laws

Staying past the end of a Booking is covered under Overtime & Items Left After a Booking.

14. Overtime & Items Left After a Booking

A Booking ends at the end time shown on it. For a parking Booking, if the vehicle is still checked in once a 15-minute grace period after the end time has passed, the Booking is closed and overtime is charged at 1.5 times the Listing's hourly rate for each started hour after the end time (where the Listing has a day price, no more than 1.5 times that day price for each 24 hours), plus HST. The overtime charge is taken from the Guest's Parkeas credit balance if the balance covers all of it; otherwise it is shown on the Booking as an amount due, which the Guest must pay through the Platform. Parkeas restricts new Bookings until an overtime charge is paid. Once the Guest has paid an overtime charge, the Host receives the overtime amount, not including HST or any administration fee, less the host fee (see Fees), with a later weekly payout.

For parking Bookings made on or after October 22, 2026, these rules also apply. A Guest who checks out after the grace period is charged overtime in the same way, from the end time to the time they checked out. If the vehicle stays after the Booking was checked out or closed, the Host may report it through Parkeas within 24 hours of the checkout, with the time the vehicle left and any photos. The Guest is told when a report is made and may respond through the Platform. Parkeas reviews each report and the evidence before charging anything, may correct the reported time, and charges the Guest overtime for the time not already charged, calculated as above, plus an overstay administration fee of CA$10 and HST, collected in the same way. Parkeas decides whether to charge based on the information available to it.

If a vehicle stays in a Space after the Booking ends and the Guest can't be reached or doesn't move it, the Host may have it removed or towed at the Guest's expense, but only as permitted by applicable law and municipal bylaws, including any signage and notice requirements. Parkeas does not tow vehicles and is not responsible for towing or impound charges.

For a storage Booking, the Guest must remove all items by the end of the Booking. If items remain, the Host must notify the Guest through Parkeas and give the Guest a reasonable opportunity to remove them, and may request payment through Parkeas for the continued use of the Space at the Listing's rate. Items that still remain must be dealt with only as permitted by applicable law. Parkeas does not take possession of items left at a Listing.

15. Parking Risks

Parking may involve risks including vehicle theft, vandalism, scratches, collision, weather damage, falling objects, flooding, towing, parking enforcement and acts of third parties. Parkeas does not guarantee that any parking space will eliminate these risks.

Nothing in this section excludes liability that cannot legally be excluded.

16. Storage Bookings

A storage Booking provides limited permission for a Guest to use the designated storage space according to the Booking terms. Hosts should accurately describe relevant conditions such as dimensions, access, availability, environmental conditions, restrictions, security features and permitted use.

Guests are responsible for determining whether a space is suitable for the property they intend to store.

Monthly payments. A storage Booking longer than one month is paid one month (30 days) at a time. The first month is charged when you book. Each later month is charged to the payment method you booked with a few days before it starts (the number of days is shown at checkout), together with its service fee and HST. If a charge fails, we will email you a link to pay; if a month is still unpaid a few days after it starts (as shown at checkout), the Booking ends on the last day paid for and the Host is told. You may end a storage Booking early by giving notice from your booking page: it then ends after the notice period shown there, or at its booked end if that is sooner. Months after the new end are not charged, and any amount paid for time after the new end is refunded to your payment method. Ending early is not a cancellation; before the Booking starts, the Cancellation & Refund Policy applies instead.

17. Prohibited Storage Items

Guests must not store prohibited, dangerous or unlawful items, including:

• Illegal goods or stolen property
• Explosives or unlawful weapons
• Illegal drugs, hazardous chemicals or toxic substances
• Biohazardous materials or human remains
• Live animals
• Highly flammable materials or regulated waste
• Other items prohibited by Parkeas or applicable law

The Prohibited Storage Items Policy sets out these rules in more detail and forms part of these Terms.

18. Keys, Fobs & Access Devices

Some Listings need a key, fob, remote, parking pass, gate code or other access device. The Host must describe in the Listing, before a Booking is made, how access works and any replacement cost for a lost or damaged device.

A Guest who receives an access device must keep it secure, use it only for the booked Space and period, not copy it or share access codes, and return it by the end of the Booking as the Host instructs. A Guest who loses or damages a device, or doesn't return it, is responsible for the reasonable replacement cost disclosed in the Listing.

Parkeas does not collect or hold deposits. Hosts must not ask Guests for deposits or other payments outside Parkeas (see Off-Platform Transactions).

19. Listing Accuracy

Hosts must provide materially accurate information regarding their spaces, including relevant location, photographs, dimensions, price, availability, access, restrictions, amenities and material conditions.

Parkeas does not physically inspect Spaces, and does not check that photographs, dimensions, descriptions or other Listing details are accurate. Verification helps confirm who a User is; it does not confirm the condition, safety or suitability of a Space.

Parkeas may remove or restrict Listings that are materially misleading or violate Platform policies.

20. Pricing

Hosts may establish their Listing prices using the pricing options available through Parkeas. Parkeas may provide optional pricing information, recommendations or automated pricing tools. Any pricing recommendation is informational and does not guarantee bookings, occupancy or earnings. Applicable Platform fees and taxes will be disclosed as required.

During events or in areas of high demand, Parkeas may apply a demand multiplier to the hourly rate of parking Listings in a defined area. Any multiplier is included in the price shown before the Guest books, and the Host receives the adjusted rate for those Bookings.

21. Fees

Parkeas charges fees for use of its services. Currently:

• Guests pay a service fee on each Booking (currently 5% of the Booking price plus CA$0.40), shown at checkout before payment. The service fee isn't refunded when the Guest cancels, as set out in the Cancellation & Refund Policy.
• Hosts may pay a host fee, a percentage of the Booking price, shown in the Host dashboard and on each Booking before it applies. The Host receives the Booking price less that fee and any discount the Host chooses to offer.
• If a Guest cancels and part of what they paid isn't refunded under the Cancellation & Refund Policy, the Host receives the same part of the Booking price, less the host fee, with the next weekly payout. The Guest's service fee is kept by Parkeas.
• Each weekly Host payout carries a payout fee (currently CA$2.25), shown in the Host dashboard — see Host Payouts.
• If a Host cancels a confirmed Booking, the Guest is refunded in full and the Host pays a cancellation fee equal to the card processing costs that aren't returned on the refund (currently 2.9% + CA$0.38 of the amount charged to the Guest's card). The fee is shown before the Host confirms the cancellation and is deducted from the Host's payouts. It applies to Bookings made on or after October 2, 2026.
• Optional services, such as subscriptions and promoted Listings, have their own prices, shown before purchase.

Applicable fees are disclosed before the relevant transaction. Parkeas may change its fees for future transactions; a change does not apply to a Booking that is already confirmed.

22. Payments

Payments are processed by Stripe, our independent payment service provider. By making or accepting a Booking, Users authorize applicable charges and payouts according to the information presented during the transaction.

Parkeas and Stripe may process Booking charges, Platform fees, taxes, refunds, adjustments, payouts, chargebacks and other authorized amounts. Additional Stripe terms may apply.

Parkeas may decline, hold, cancel or reverse a payment or Booking that it reasonably believes is fraudulent, unauthorized or in breach of these Terms or applicable law. Where it does, the Guest is refunded as required by the Cancellation & Refund Policy and applicable law.

23. Host Payouts

Eligible Host earnings are paid according to Parkeas's payout procedures, through Stripe Connect. Payouts may be affected by:

• Processing periods and verification
• Refunds, cancellations or chargebacks
• Fraud investigations
• Tax requirements
• Payment-provider delays
• Disputes
• An Account suspension or ban (see Section 43)

Parkeas cannot guarantee processing times controlled by independent financial institutions.

Payouts are made weekly (currently every Monday) to the Host's bank account through Stripe. A payout fee (currently CA$2.25) is deducted from each payout. If a week's earnings after the fee come to less than the minimum payout (currently CA$10), they roll over to the next week. Host cancellation fees (see Fees) are deducted from payouts the same way; any part a payout can't cover is deducted from later payouts. The Host's share of overtime a Guest has paid (see Section 14) and of what a Guest's cancellation keeps (see Fees) is added to the next weekly payout.

If money is refunded to a Guest for a Booking the Host is or was paid for (including a refund made through Parkeas's dispute process), or is taken back by a chargeback that Parkeas doesn't win after the Host has been paid for the Booking, Parkeas deducts the Host's share of it from the Host's future payouts and tells the Host. The Host's share is the same proportion of the refund or chargeback as what the Host is paid for that Booking is of what the Guest paid for it, and is never more than what the Host is paid for that Booking. Parkeas may choose to bear a refund itself, in which case nothing is deducted. A Booking that is charged back before the Host has been paid for it isn't paid out while the chargeback is open, nor after Parkeas loses it.

Payment processing services for Hosts on Parkeas are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a Host on Parkeas, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Parkeas enabling payment processing services through Stripe, you agree to provide Parkeas accurate and complete information about you and your business, and you authorize Parkeas to share it and transaction information related to your use of the payment processing services provided by Stripe.

24. Subscriptions

Parkeas offers optional paid plans for Guests (such as Parkeas Pass) and for business accounts. Each plan's price and benefits are shown on its page before you subscribe.

• Plans renew automatically every month. The plan price, plus any applicable tax, is charged to your saved card at each renewal until you cancel.
• You can cancel at any time from your account. Cancelling stops the next renewal; your plan and its benefits continue until the end of the month you have already paid for.
• Payments already made are not refunded for partial months, except where applicable law requires a refund.
• If Parkeas changes a plan's price, we will tell you before the new price applies to your next renewal, and you may cancel before it takes effect.
• Plan discounts apply to eligible Bookings as described on the plan page and can't be exchanged for cash.

25. Credits, Promo Codes, Gift Cards & Referrals

Parkeas credit. Credit in your Parkeas wallet — for example from a refund, gift card, referral or promotion — can be applied to Bookings on the Platform. Credit has no cash value, can't be transferred to another Account and can't be withdrawn, except where applicable law requires otherwise. Because card payments have a minimum charge, credit can cover all but CA$0.50 of a card checkout.

Promo codes. Each promo code is subject to the conditions shown with it, which may include an expiry date, a minimum Booking amount, a limit on uses, eligibility for a first Booking only, or use on particular Listings. One promo code may be used per checkout; on a repeat Booking it applies to the first date only. Promo codes have no cash value.

Gift cards. Parkeas gift cards do not expire and carry no fees. A gift card is redeemed into Parkeas credit on the recipient's Account. Keep gift card codes private: anyone with a code can redeem it.

Referrals. When someone you refer completes their first Booking, you each receive the referral credit shown on the Referrals page. You can't refer yourself or another Account you control.

Parkeas may withhold, reverse or cancel credit, promo codes, gift card redemptions or referral rewards obtained by fraud, abuse, error or a breach of these Terms, subject to applicable law.

26. Cancellations & Refunds

Bookings are subject to the cancellation terms displayed during the Booking process and Parkeas's Cancellation & Refund Policy. Hosts and Guests should review cancellation conditions before confirming a Booking. Mandatory consumer rights under applicable law continue to apply.

27. Assumption of Risk

Users acknowledge that interactions with other Users and use of privately offered spaces involve inherent risks, which may include property or vehicle damage, theft, personal injury, unauthorized access, water damage, mold, fire, weather, towing, municipal enforcement, and acts or omissions of other Users or third parties.

Users are responsible for taking reasonable precautions appropriate to their circumstances. Nothing in these Terms transfers or excludes liability where doing so is prohibited by applicable law.

28. Insurance and Coverage

28.1 Parkeas Insurance

Parkeas may maintain commercial insurance coverage appropriate to its business operations.

Any insurance maintained by Parkeas is subject to the applicable insurance policies, terms, conditions, exclusions, deductibles and limits.

Unless expressly stated otherwise in these Terms or in a separate written agreement, insurance maintained by Parkeas does not constitute insurance coverage for a Host, Guest, vehicle, Space, Asset, personal property or other User property.

28.2 Host Insurance

Each Host is responsible for determining, obtaining and maintaining insurance appropriate for the Space or Asset offered through a Listing and for the Host's activities in connection with the Listing.

Depending on the circumstances, this may include homeowner, landlord, rental, commercial property, commercial general liability or other insurance.

Hosts are responsible for notifying their insurer, landlord, condominium or property manager, where applicable, of their participation in the Parkeas marketplace and for complying with all applicable insurance requirements, policy conditions and exclusions.

28.3 Guest and Vehicle Insurance

Each Guest is responsible for maintaining insurance required by applicable law and any additional insurance the Guest considers appropriate for the Guest's vehicle, personal property, goods, inventory, equipment and activities.

Guests using Parkeas for parking are responsible for ensuring that their automobile insurance remains valid and appropriate for the vehicle and its use.

Guests using Parkeas for storage or another permitted purpose are responsible for determining whether insurance covering their stored property, goods, inventory or equipment is appropriate or required.

28.4 No Automatic Coverage

Unless Parkeas expressly states otherwise in writing, a Listing, Booking, payment, verification, identity check or other use of the Platform does not create or provide insurance coverage for a Host, Guest, vehicle, Space, Asset or personal property.

Parkeas does not represent or warrant that any insurance maintained by a Host, Guest or other person is sufficient for a particular loss, claim, damage or circumstance.

28.5 Claims and Cooperation

Where a loss, accident, damage or other incident occurs in connection with a Listing or Booking, each affected person remains responsible for promptly notifying their applicable insurer and complying with the requirements of their insurance policy.

Where reasonably necessary and legally permitted, Parkeas may provide relevant Booking, transaction, Listing or Account information to an insurer, insurance broker, claims professional, law-enforcement agency or other authorized party in connection with an actual or potential claim, investigation or insurance matter.

Nothing in this Section limits liability or insurance rights that cannot legally be limited or excluded under applicable law.

29. Trust & Safety

Parkeas may provide features intended to support marketplace trust and safety, including verification, secure payment infrastructure, reviews, ratings, booking records, Platform communications, fraud monitoring, incident reporting and customer support.

These tools are intended to reduce certain risks but cannot eliminate every risk or guarantee the conduct of Users. Our Trust & Safety Policy explains how to report a problem and what Parkeas may do, and forms part of these Terms.

Protect yourself from scams. Parkeas will never ask you to pay for a Booking by e-transfer, cash, cryptocurrency or gift card, or to pay anywhere outside the Platform, and will never ask for your password or verification codes. A Host or Guest who asks you to move payment off Parkeas, pay a deposit outside the Platform or share login details may be attempting fraud: don't pay, and report it to support@parkeas.com. Payments made outside Parkeas are not covered by Parkeas's payment, refund or support processes.

30. Reviews & Ratings

Parkeas may allow Hosts and Guests to review one another. Reviews should reflect genuine experiences, be relevant and truthful to the User's knowledge, avoid harassment or unlawful discrimination, avoid fraudulent content, and respect applicable privacy rights.

Parkeas may remove content that violates applicable policies.

31. User Content

Users may submit photos, videos, Listing descriptions, reviews, messages, profile information and other content. You retain ownership of your original content.

By submitting content to Parkeas, you grant Parkeas a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, reproduce, format, display, distribute and use that content as reasonably necessary to operate, improve and promote Parkeas — including on Parkeas's social media, advertising and search listings — subject to applicable privacy and intellectual-property laws. Parkeas may sublicense these rights only to service providers and partners acting on its behalf.

You represent that you own the content you submit, or have the rights needed to grant this licence, and that it doesn't infringe anyone else's rights. Don't upload photos of a space taken by someone else, or photos showing people, licence plates or other personal information, without permission.

32. Prohibited Conduct

Users must not:

• Commit fraud or use Parkeas for criminal activity
• Misrepresent their identity
• List property without authority
• Provide materially false information
• Damage another person's property
• Threaten or harass Users, or unlawfully discriminate
• Manipulate ratings or reviews
• Circumvent Platform security or introduce malicious software
• Misuse another User's personal information
• Infringe intellectual-property rights
• Post content that is offensive, defamatory, obscene, hateful or otherwise objectionable
• Use bots, scrapers, crawlers or other automated tools to access, copy or collect data from the Platform, other than search engines that follow our robots.txt
• Create or use multiple Accounts to claim promotions, referral credit or first-Booking offers
• Facilitate prohibited transactions

33. Off-Platform Transactions

Users must not intentionally use Parkeas to identify another User and then move the transaction outside Parkeas primarily to avoid applicable Platform fees or rules. Keeping eligible Bookings and payments on Parkeas helps maintain Booking and transaction records and allows applicable Platform support processes to function.

Hosts must not ask Guests for deposits, fees or other payments outside Parkeas for a Booking made on the Platform.

34. Privacy

Parkeas handles personal information in accordance with our Privacy Policy and applicable privacy law. The Privacy Policy explains how Parkeas may collect, use, disclose, retain and protect information relating to Hosts and Guests. By using Parkeas, Users acknowledge the Privacy Policy. Where consent is legally required, Parkeas will seek appropriate consent.

35. Location Information

Certain Parkeas functionality depends on location information. Hosts authorize Parkeas to display information concerning their Listing location as reasonably necessary to operate the marketplace, including the Listing's address and map location, which are shown publicly on the Listing page. Access instructions, such as gate codes, are provided only to eligible Guests at an appropriate stage of the Booking process.

36. Intellectual Property

The Parkeas Platform, including its proprietary software, brand, logo, design, interface, graphics, original content, technology and database structure, is owned by or licensed to Parkeas Inc.

Users may not copy, reproduce, commercially exploit, reverse engineer or misuse Parkeas proprietary materials except where permitted by law or expressly authorized.

37. Third-Party Services

Parkeas uses third parties for functions including payment processing and card-fraud screening (Stripe), mapping and geolocation (Google, Mapbox), sign-in with Google, site analytics (Google Analytics), and cloud and email hosting (IONOS). Third-party services may have their own terms and privacy policies.

Parkeas is not responsible for independent third-party services beyond obligations imposed on Parkeas by applicable law.

38. Platform Availability

We work to provide a reliable Platform but cannot guarantee that Parkeas will always be available, uninterrupted, error-free, or secure from every possible threat. Parkeas may perform maintenance, modify functionality or temporarily restrict access where reasonably necessary.

39. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Parkeas is provided on an "as is" and "as available" basis.

Parkeas does not guarantee continuous Platform availability, a particular number of Bookings, a particular level of Host earnings, availability of a particular space, the conduct of Users, suitability of every Listing, or accuracy of all User-provided information.

Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.

40. Limitation of Liability

To the maximum extent permitted by applicable law, Parkeas Inc., its affiliates and their respective directors, officers, employees, contractors and agents will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from or relating to the Platform, a Listing, a Booking, a Host, a Guest or another User.

To the maximum extent permitted by applicable law, Parkeas's aggregate liability arising out of or relating to the Platform or these Terms will be limited to the greater of:

• (a) the Platform fees actually paid directly by the affected User to Parkeas during the three months immediately preceding the event giving rise to the claim; or
• (b) CAD $100.

This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.

Parkeas is not responsible for losses arising from a User's unauthorized, unlawful or improper use of a Listing, including parking tickets, towing charges, municipal penalties, fines or other charges imposed by a Host, property owner, municipality or other authority, except to the extent caused by Parkeas's own liability that cannot legally be excluded.

Nothing in these Terms is intended to exclude, restrict or limit any statutory consumer right, remedy or liability that cannot legally be excluded, restricted or limited.

41. Indemnification

To the maximum extent permitted by applicable law, Users agree to indemnify Parkeas against third-party claims — including claims by property owners, landlords, condominium or strata corporations, property managers, homeowners' associations and municipal or other authorities — and against losses, liabilities, damages and reasonable legal expenses arising from material breach of these Terms, unauthorized Listings, unlawful use of a Listing, damage or injury caused by the User, violation of applicable law, infringement of third-party rights, or fraudulent or wilful misconduct.

At Parkeas's option, the User will also defend Parkeas against such a claim with counsel reasonably acceptable to Parkeas. Parkeas may take part in the defence with its own counsel, and the User may not settle a claim that affects Parkeas without Parkeas's written consent.

This provision does not require indemnification where prohibited by applicable law.

42. Incidents & Disputes

If an incident occurs: prioritize immediate safety, contact emergency services where necessary, document relevant circumstances when safe, preserve photographs and messages, and report the issue to Parkeas as soon as reasonably possible.

Parkeas may assist with communication or Platform-related resolution but is not necessarily responsible for adjudicating private disputes between Hosts and Guests.

43. Account Suspension & Termination

Parkeas may restrict, suspend or terminate an Account or Listing where reasonably necessary to protect Users, address safety concerns, prevent fraud, enforce these Terms, respond to repeated complaints, protect third-party rights, comply with law, or protect Platform integrity. Notice will be provided where required by applicable law.

While a Host's Account is suspended or banned, Parkeas holds the Host's payouts instead of sending them. Held earnings are not forfeited. Parkeas reviews the Account and may first deduct from them any refunds, chargebacks, fees or other amounts the Host owes under these Terms (see Host Payouts). Earnings owed for completed Bookings are then released to the Host, unless applicable law, a court or a regulator requires otherwise. Parkeas may cancel upcoming Bookings at a suspended or banned Host's Listings and give the Guests a full refund.

44. Taxes

Users are responsible for determining their own tax obligations associated with Parkeas activity. Parkeas may collect, remit, withhold or report taxes and transaction information where required by applicable law. Applicable GST, HST, PST or QST is calculated at checkout based on the province where the Listing is located and shown on your receipt. Hosts are responsible for reporting income where legally required.

Canada's reporting rules for digital platform operators (Part XX of the Income Tax Act) may require Parkeas to collect information from Hosts — such as legal name, date of birth, address and Social Insurance Number or Business Number — and report Host earnings to the Canada Revenue Agency each year. Hosts must provide this information when asked. If a Host doesn't provide it after being reminded, Parkeas may suspend the Host's Listings or payouts as those rules require or permit. See our Privacy Policy for how this information is handled.

45. Canadian Laws

Parkeas is a Canadian company and intends to operate across Canada. Users are responsible for complying with applicable federal, provincial, territorial and municipal laws, and property requirements. Different rules may apply depending on the location of a Host, Guest or Listing.

46. Quebec

Additional mandatory requirements may apply to Users in Quebec, including consumer-protection, privacy and French-language requirements. Where applicable law requires French-language terms or disclosures to be provided before another language may be selected, Parkeas will comply with those requirements. Nothing in these Terms overrides mandatory rights available under Quebec law.

47. Consumer Rights

Nothing in these Terms is intended to waive or restrict a mandatory consumer right that cannot lawfully be waived. Where applicable consumer legislation conflicts with these Terms, the mandatory legislation prevails to the extent of the conflict. Consistent with Ontario's Consumer Protection Act, 2002, nothing in these Terms requires a consumer to submit a dispute to arbitration or waives a consumer's right to participate in a class proceeding where that right cannot lawfully be waived.

48. Governing Law

Subject to mandatory laws that apply regardless of contractual choice, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

49. Jurisdiction

To the maximum extent permitted by applicable law, proceedings between Parkeas and a User arising from these Terms or the Platform will be brought before a court of competent jurisdiction in Ontario, Canada. This provision does not deprive a consumer of a mandatory right to bring proceedings elsewhere where such right cannot legally be waived.

50. Changes to Parkeas

Parkeas will evolve. We may introduce new space categories, new technologies, AI functionality, new payment options, verification services, subscription plans, business services and new geographic markets. Additional terms may apply to new services.

51. Changes to These Terms

Parkeas may update these Terms as our business, Platform or legal requirements evolve. Where required, we will provide appropriate notice of material changes at least 15 days before they take effect. The Last Updated date at the top of this page identifies the current version. Where applicable law requires affirmative consent to changes, Parkeas will obtain it.

52. Force Majeure

Parkeas is not responsible for a failure or delay in performing its obligations caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemics, war, civil unrest, government action, labour disputes, utility or internet failures, and outages of third-party services such as payment, hosting or mapping providers. This does not affect a Guest's right to a refund under the Cancellation & Refund Policy or applicable law where a Booking can't be provided.

53. Notices

Parkeas may give you notices under these Terms by email to the address on your Account, through the Platform, or by posting them on parkeas.com. Keep your email address current. Legal notices to Parkeas must be sent to support@parkeas.com with "Legal notice" in the subject line.

54. Assignment, Waiver & Survival

You may not assign or transfer your rights or obligations under these Terms without Parkeas's prior written consent. Parkeas may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization or sale of assets, with notice to you where required by law.

If Parkeas does not enforce a provision of these Terms, that is not a waiver of its right to enforce it later.

Provisions that by their nature should continue after your Account closes or these Terms end — including those about amounts owed, fees, User Content licences, disclaimers, limitation of liability, indemnification, governing law and jurisdiction — continue to apply.

55. Severability

If any provision of these Terms is determined to be unlawful or unenforceable, it will be limited or severed to the minimum extent necessary. The remaining Terms will continue in effect.

56. Entire Agreement

These Terms, together with applicable policies and supplemental terms expressly incorporated by reference — including our Privacy Policy, Cookie Policy, Cancellation & Refund Policy, Trust & Safety Policy and Prohibited Storage Items Policy — constitute the general agreement governing use of Parkeas. They supersede any earlier version of these Terms and any prior agreements or understandings between you and Parkeas about the Platform.
